NEWEL TERMS AND CONDITIONS OF SALE 

TERMS AND CONDITIONS OF SALE (12/4/2025)

IT IS IMPORTANT THAT YOU READ AND UNDERSTAND THESE TERMS AND CONDITIONS BEFORE PROCEEDING WITH THIS TRANSACTION. IF THERE IS ANY TERM THAT YOU DO NOT UNDERSTAND OR DO NOT WISH TO AGREE TO, PLEASE DISCUSS IT WITH A REPRESENTATIVE OF NEWEL LLC. ONLY PROCEED WITH THIS TRANSACTION IF YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS SET OUT BELOW. 

  1. PURPOSE AND EFFECT 

The following terms and conditions set out all the terms of agreement other than price between you as buyer and Newel as seller, in relation to the sale and purchase of the item or items identified in the invoice, which we refer to as the work. We confirm that we either own the work or are authorized to sell it on behalf of the owner. Any change to these terms must be agreed to in writing by Newel. 

  1. STATEMENTS ABOUT THE WORK 

2.1 All items are sold as is. All statements by Newel regarding authenticity, attribution, description, date, age, provenance, title, or condition represent only our judgment and opinion and are not warranted. 

2.2 Newel cannot warrant or certify UL Laboratory compliance. 

2.3 Newel will provide information about condition on request, but we are not responsible for deterioration that occurs after the sale. 

2.4 Buyers are responsible for satisfying themselves with respect to all statements about the work. 

2.5 For custom made pieces, all sales are final. Requested alterations may incur additional charges at Newel’s discretion.

  1. PAYMENT OF PURCHASE PRICE 

3.1 Payment is due within thirty days of the invoice. Appropriate sales tax applies unless a valid resale or exemption certificate or Bill of Lading is supplied to Newel before payment. 3.2 The buyer is responsible for delivery, packing, insurance, and all taxes including import, duty, and merchandise taxes. 

3.3 If payment is not made within forty five days, Newel may cancel the sale and require return of the work. 

3A. SALES TAX AND REQUIRED DOCUMENTATION 

Newel collects sales tax in jurisdictions where it has nexus, required by law, including New York, New Jersey, and Florida. All purchases are subject to applicable state and local sales taxes unless the buyer provides a valid resale certificate or other acceptable proof of tax exemption before payment is made. Buyers claiming exemption must provide all documents required under applicable law. 

Out of state shipments may be exempt from sales tax only when the buyer provides a Bill of Lading issued by a licensed common carrier showing delivery outside the states of New York, New Jersey and Florida. If the buyer does not provide all required documentation prior to payment, sales tax will be charged and will not be refunded. 

  1. COLLECTION OF THE WORK AND PASSING OF TITLE AND RISK OF LOSS 

4.1 Buyers are responsible for arranging pick up after payment in full. 

4.2 From the agreed collection time, the buyer assumes all risk of loss or damage. 4.3 Title transfers only upon full payment. If possession is granted prior to payment, the buyer must insure the work for no less than the purchase price, must not dispose of it, must allow Newel to inspect it, and must preserve it in the condition delivered. 

4.4 For certain artworks not in the public domain, Newel cannot guarantee copyright or reproduction rights. Buyers accept all liability arising from modifications or adaptations.

  1. RETURNS 

Except for custom made pieces, returns for full refund are allowed within thirty days if the work is in the same condition as when sold. After thirty days, credits may be offered at Newel’s discretion. All return costs are borne by the buyer. 

  1. NEWEL WARRANTY 

Newel warrants that the work delivered conforms to the contract specifications and is free of defects in title. This express warranty replaces all other warranties, including merchantability and fitness for a particular purpose. 

  1. MISCELLANEOUS 

7.1 These terms bind and inure to the benefit of the parties’ successors. 

7.2 Failure to insist on strict performance does not waive rights. 

7.3 The governing law is the State of New York. 

7.4 Invalid portions do not affect the remainder. 

  1. JEWELRY TRANSACTIONS, 

INSURANCE, AND RISK 

ACKNOWLEDGMENT 

(New Section Added for Compliance with Jeweler’s Block Policy) 

8.1 These terms apply to all jewelry, watches, precious stones, and items made of or plated with precious metals. These items fall under Newel’s Jeweler’s Block Policy, and Newel’s liability is limited to the coverage terms, exclusions, and limits stated in that policy.

8.2 Newel’s insurance applies only while jewelry is in Newel’s possession and only to the extent described in the policy. Once the buyer or consignee takes possession, all risk of loss, theft, mysterious disappearance, damage, or breakage transfers immediately to the buyer or consignee. 

8.3 Shipping of jewelry is subject to strict insurance requirements. Certain shipping methods are excluded from coverage. Newel is not responsible for loss occurring during shipping unless Newel arranges the shipment and it complies with policy requirements. 

8.4 If jewelry is kept outside a safe or vault when Newel’s premises are closed or unattended, insurance is limited to the Out of Safe Limit and maximum per item limits stated in Newel’s policy. 

8.5 Customer property entrusted to Newel is insured only to the stated values documented at intake and only within policy limits. 

8.6 Buyers must maintain full insurance for any jewelry item immediately upon taking possession. Newel’s insurance does not extend to buyers once the item leaves Newel’s custody. 

8.7 All valuation and loss settlement follow Newel’s Jeweler’s Block Policy, including replacement cost for owned goods, memo or consignment price for entrusted goods, and wholesale replacement cost for customer property unless otherwise stated in writing. 

8.8 Nothing in these Terms expands Newel’s liability beyond the limits and exclusions of the Jeweler’s Block Policy. 

  1. ENTIRE AGREEMENT 

These Terms constitute the entire agreement between the parties and supersede all prior understandings.

The Newel Gallery is open Monday – Friday, 9am-5pm. Newel.com is open for business 24/7. Our loading dock hours for pickup & delivery is Mon-Fri, 8:30am-4pm.

Newel has been servicing the design trade for many decades, is proud to work with designers from all over the world and offers a 20% trade discount to qualifying clients. *Qualifying clients must provide a valid resale certificate, and once approved, will enjoy a 20% discount on all purchases made at Newel in person, by phone or online.

Absolutely! Our entire collection is stocked within our own warehouse, so any additional info or photos requested are just a few clicks away. If you’d like to request more information. Absolutely! We work with interior designers and trade professionals on a daily basis and are happy to accommodate a flexible approach to “holds”. To request a hold, please call 212.758.1970 or email us.

Order from us is easy. You can shop in person at our gallery, over the phone with our sales team, or directly online through Newel.com. However you choose to shop, Newel is here to assist you and make your experience simple and hassle-free.

Absolutely. Any item ordered online, in-store or by phone can be picked up at our warehouse free of charge during normal pickup hours (8:30am-4pm, Mon-Fri) once full payment has been made.

As the most trusted name in antiques, Newel works with only the most reputable carriers in the logistics industry. While all shipping costs are the sole responsibility of the buyer, Newel is happy to assist in selecting the right carrier for the job.

We will contact you and provide you with the best shipping options available. All shipping charges will be invoiced separately.

While shipping damages with Newel-selected carriers are seldom, we fully insure every piece in the unlikely event that a damage occurs during transit. It is the buyer’s right and responsibility to inspect each item at the time of delivery and adhere to the below protocol to ensure proper resolution:

For UPS/Small Parcel Items
All items should be inspected at the time of delivery. It is your right and responsibility to do so.
1) Note visible damage on delivery paperwork
2) Preserve all original packaging materials
3) Contact your local UPS branch to request inspection by a claims agent

Once inspection has been made, Newel will work with the carrier to determine the best possible resolution

For Large Items / Home Deliveries
It is ESSENTIAL to inspect any/all items delivered. It is your right and responsibility to unpack and inspect your items in the presence of the driver, and to document any visible damage on the paperwork at the time of delivery. Approving delivery without inspecting and documenting potential freight damage will legally void Newel’s insurance coverage. If you have received damaged items, please contact us within 48 hours of delivery. Rest assured that Newel is committed to fanatical customer service and will provide you with the following options:

3) Exchange for something else in our store

At Newel, we do our best to ensure that our available quantity of each item is kept up-to-date on our website. Working with the trade, we also accommodate “holds”. If you have a question about the available quantity of an item, or the remaining duration of a current “hold” status, please call or email us and we will gladly verify availability or recommend similar items that are in stock.

Privacy Policy

Please note that the practices of Newel, LLC., its affiliates, and agents ("Newel"), with respect to data collected and used by Newel in connection with this website and all other newelprops.com and newel.com websites of Newel, LLC and its affiliates with links to this policy (collectively, the "Site") and Newel products and services available or enabled via the Site ("Products and Services"), are governed by this online privacy policy ("Privacy Policy"). This policy is amended from time to time, and the current published policy is always the governing policy, not the privacy policy in effect at the time the data was collected. Please regularly review our Privacy Policy. If you have objections to the Privacy Policy, you should immediately discontinue use of the Site and the Products and Services enabled by the Site and follow the procedure described later in this document. This Privacy Policy does not govern privacy practices associated with offline activities, websites other than the Site, or Products and Services not available or enabled via the Site. Newel adheres to the General Data Protection Regulation as set forth by the European Union regarding the collection, use, and retention of personal information covered by the Privacy Policy.

The Site and the Products and Services are intended for adult audiences, and Newel does not knowingly collect any personal information from anyone under 13 years of age.

WHAT IS PERSONAL INFORMATION?
“Personal information" is defined as any information that identifies or can be used to identify the person to whom such information pertains, including anonymous information connected to identifying information that can be used to identify an individual. Personal information does NOT include information that has been irreversibly anonymized or aggregated so that it can no longer enable us, whether in combination with other information or otherwise, to identify you (also called pseudonymization).

WHAT INFORMATION DO WE COLLECT?
The information that Newel collects about you is determined by your engagement with our Products and Services. Following are the ways in which which might collect and retain your Personal Information.

INFORMATION YOU PROVIDE TO US
We collect the personal information you volunteer—such as your name, username, or email address—when you create an account on newel.com or newelprops.com, request to be added to our Constant Contact mailing list, reach out to us via methods provided on our Contact Us page, participate in an online survey, apply for employment, interact with us at in-person events, volunteer information while engaging with our social media accounts, or otherwise interact with us and freely give your personal information.

INFORMATION REGARDING YOUR USE OF OUR PRODUCTS AND SERVICES
When you visit our websites, we use Google Analytics to collect anonymized information about your usage of our site. We may collect information about the type of device you use, the IP address of your device, your operating system, the type of internet browser that you use, usage information, diagnostic information, browsing information, session summary information, and location information from or about the computers, phones, or other devices on which you access our products or services. Newel may change the Privacy Policy from time to time at its sole discretion and will provide notice of changes in the Privacy Policy on the home page of newel.com and newelprops.com. If, as the result of such changes, you want to alter the ways in which Newel is allowed to use your personal information, you can do so by following the procedures described below. You will be subject to the changes to the Privacy Policy after such notice has been posted with the following exception: if at the time you provide personal information to Newel you limit how such information will be used to communicate with you, either by Newel or by third parties, Newel will not change your privacy preferences without your express consent. However, if Newel sells assets (or the assets of a division or subsidiary) to another entity, or Newel (or a division or subsidiary) is acquired by or merged with another entity, Newel may provide to such entity customer information that is related to that part of our business that was sold to or merged with the other entity, but Newel will provide notice of such asset sales, acquisitions, or mergers on this Site. PROVIDING, IMPROVING, AND DEVELOPING OUR PRODUCTS AND SERVICES
We use personal information to help us provide, improve, and develop our Products and Services and advertising. This includes using personal information for purposes such as data analysis, research, and audits. Such processing is based on our legitimate interest in offering you Products and Services and for business continuity. If you enter a promotion, we may use the personal information you provide to administer those programs. Subject to your prior express consent, we may use personal information to send you marketing communications in relation to Newel and Newel Props’ Products and Services, to communicate with you about your account, transactions, or employment requests, and to inform you about our policies and terms. Also subject to your prior express consent, we may share your personal information with third-party partners who may send you marketing communications in relation to their products and services, or marketing communications on our behalf, including our newsletters and e-blasts. If you no longer wish to receive email communications for marketing purposes, please click the unsubscribe link provided at the bottom of all of our email communications, or email your request to [email protected], to opt out. We may use your information to process and respond to your requests when you contact us.

OFFERING AND MEASURING TARGETED ADVERTISEMENTS AND SERVICES
Subject to your prior express consent, we may use personal information to personalize your experience with our products and services, on third-party websites and applications, and to determine the effectiveness of our promotional campaigns. Demographic data that is collected for this purpose is immediately anonymized using a randomized ID number, and we are no longer able to identify your connection to this information.

PROMOTING SAFETY AND SECURITY
We use personal information to help verify accounts and user activity, as well as to promote safety and security, such as monitoring fraud and investigating suspicious or potentially illegal activity or violations of our terms or policies. Such processing is based on our legitimate interest in helping ensure the safety of our Products and Services.

A cookie is small amount of data that is transferred to your browser by a web server and can only be read by the server that gave it to you. It functions as your identification card and enables Newel to record your passwords and preferences. It cannot be executed as code or deliver viruses. While Newel uses cookies and similar devices to track your use of the Site and the Products and Services, Newel does not generally use this information to identify you personally. However, if you expressly provide consent for the Site or the Product and Service to "remember" the unique identifier that you select when you register for various activities on the Site or the Products and Services, that unique identifier will be stored on a cookie on your computer and that unique identifier will be linked to your Registration Information. As a result, your navigation path around the Site and the Products and Services will be tracked.

Newel also hires other companies to place our banner ads on other websites and where they are permitted to perform tracking and reporting activities ("third-party advertisement servers"). Aside from IP addresses, they do not collect personally identifiable information in doing this work for us, and we do not give any personally identifiable information to them. Third-party advertisement servers are subject to their own privacy policies.

PROTECTION OF YOUR PERSONAL INFORMATION
The personal information that you provide in connection with registering yourself as a user of the Site or of the Products and Services is classified as Registration Information. Registration Information is protected in several ways. Access by you to your Registration Information is available through a password and unique customer ID selected by you. In addition, your Registration Information resides on secure servers that only selected Newel personnel and contractors have access to via password. Personal information that you provide that does not constitute Registration Information also resides on secure servers and is accessible only to selected Newel personnel and contractors via password. Since this information is not accessible online by you, you will not be asked to select a password in order to view or modify such information.

RETENTION PERIODS FOR YOUR PERSONAL INFORMATION
Newel generally retains user information for varying periods depending upon the activity to which the personal information is linked. Personal information related to account creation, login credentials, and subscriptions to our email newsletters are retained indefinitely to facilitate your usage of our Site and Products and Services. You may delete your account at any time, at which point your related personal information will be completely removed from our Site and records. Personal information related to financial transactions, rentals, or sales with Newel LLC will be retained for a period of up to 7 years to support our legitimate interest in documenting transactions in case of fraud or disputes, and maintaining accurate tax records. Anonymized data collected through tracking (Google Analytics) will be retained for a period of one year.

YOUR CHOICES AND RIGHTS REGARDING YOUR PERSONAL INFORMATION
Newel recognizes and values the importance of responsible use of information collected on the Site and in connection with the Products and Services. Newel will respect your legal rights regarding access to, correction, and deletion of your personal information. Newel may communicate information to you regarding products, services, and special offers available from Newel or selected third parties unless you have opted not to receive such communications, or such communications are prohibited by law, although we may find it necessary to continue to communicate with you regarding your use of the Site and the Products and Services. Except in the particular circumstances described in this Privacy Policy, Newel will not provide your name to other companies or organizations without your consent.

We take reasonable steps to ensure that your personal information is accurate, complete, and up-to-date. Depending on where you live, you may have the rights described below.

1. RIGHT TO ACCESS: You may request a copy of the personal information we have collected and retained about you. You also have the right to request an explanation of why this information was collected, and how it is being used.

2. RIGHT TO RECTIFY: You have the right to correct, revise ,or remove any of the personal information we have collected and retained about you at any time.

3. RIGHT TO BE FORGOTTEN: You can ask us to delete your personal information.

4. RIGHT TO RESTRICT PROCESSING: If you believe your personal information is inaccurate or collected unlawfully, you may request limited use of your personal information.

5. RIGHT TO PORTABILITY: You have the right to receive your personal information in a structured, commonly-used and machine-readable format.

6. RIGHT TO OBJECT: If you decide that you no longer want your personal information to be included in analytics , receive direct marketing emails, or other targeted marketing at any time, you may opt out of use of your data for these purposes.

If you believe your privacy with regards to data collection has been infringed upon outside the terms of this Privacy Agreement, you have the right to lodge a complaint with the competent data protection authority in your region regarding the processing of your personal information.

To protect the privacy and the security of your personal information, we may request information from you to enable us to confirm your identity and right to access such information, as well as to search for and provide you with the personal information we maintain. There are instances where applicable laws or regulatory requirements allow or require us to refuse to provide or delete some or all of the personal information that we maintain. You may contact us to exercise your rights. We will respond to your request in a reasonable timeframe, and in any event in less than 30 days.

ACCOUNT DELETION AND THE RIGHT TO BE FORGOTTEN
You may directly delete your My Projects account by clicking the “delete account” option on the My Projects home page, or by contacting us directly. You may also contact us directly to request the deletion of any information not included in your My Projects account.

If you close your account, we are not required to retain your personal information or data, and we may delete any portion or the totality of your information without liability; however, we are obliged to retain information related to you if we believe it may be necessary to prevent fraud, future abuse, if required by law, or for legitimate purposes, such as analysis of non-personal information, account recovery, record auditing, or enforcing our rights and obligations under our agreements.

SECURITY OF YOUR ACCOUNT
As a user of our Site, you are encouraged to take measures to protect your account from unauthorized access on your devices or others. Do not share your account credentials with anyone. If you have reason to believe that your account’s security has been compromised in any way, your should contact us immediately. Even though we take every measure to protect your data, no security system is impenetrable. If we experience a breach in security we will notify you and the necessary authorities promptly if required to do so under the law.
